Terms of Service
Last updated: September 2026
These terms govern any engagement with OpexProof. Until a dedicated invoicing entity is formed, you’re contracting directly with me, Nikita Loiko, an individual tax resident of Belarus. An invoicing entity (an Armenia-registered LLC) is in progress and these terms will be updated to name it once it’s in place.
What I do
I read your leases and amendments, build the recovery rules they describe, run your reconciliation against the general ledger you provide, and hand back a tenant statement and a backup package where every figure traces to a lease clause and a GL line.
Free profiles are drafts, not statements
A recovery profile built from a free submission is for your review only — it’s marked as a draft for checking, not a final statement, and it isn’t sent to anyone but you. It’s built and held in confidence.
You sign, I never bill your tenant
No statement goes to a tenant until you’ve reviewed and signed it. I never invoice or contact your tenants on your behalf — the relationship with them stays yours.
Refund policy
If a property-year isn’t closed, you don’t pay — in full, no conditions attached beyond a complete document set on your side. See Pricing for what “closed” means.
Limitation of liability
My liability for any property-year is capped at the fees you paid for that property-year. I’m not liable for indirect, incidental, or consequential damages, including amounts a tenant later disputes or that a reconciliation would have caught had more documents been provided.
Your responsibility
The reconciliation is only as complete as the documents you send. If an amendment, side letter, or exhibit isn’t provided, the statement is built on what was — every deliverable says so, in the first paragraph.
Governing law
[To confirm once the invoicing entity is registered — an Armenia LLC, planned. Until then, contracting party is an individual resident of Belarus.]
